The products marketed on the www.valentino.com website (hereinafter, the “Website”) are sold and invoiced by Valentino USA Inc. Delaware corporation having an address at 122 Hudson Street, 5th Floor, New York, New York 10013, United States of America (“VALENTINO US” or “Seller”)

These terms and conditions (these "Terms") apply to the purchase and sale of products and services through the Website. These Terms are subject to change by Valentino US  (referred to as "us", "we", or "our" as the context may require) without prior written notice at any time, in our sole discretion. The latest version of these Terms will be posted on this Site, and you should review these Terms before purchasing any product or services that are available through this Site. Your continued use of this Site after a posted change in these Terms will constitute your acceptance of and agreement to such changes.

GENERAL CONDITIONS OF SALE

1.     Acceptance of the Terms and Conditions of Sale 

1.1    VALENTINO US offers for sale on the Website the its products to end consumers, namely, to persons who buy purchase them for reasons unrelated to the activities, if any, carried out by said persons for business, entrepreneurial or professional purposes (“Customer”). VALENTINO US reserves therefore the right not to process orders placed by persons other than the "consumer" or, in any case, orders that are not consistent with its business policy. 

1.2    You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept any orders in our sole discretion. After having received your order, we will send you a confirmation email with your order number and details of the items you have ordered. Acceptance of your order and the formation of the contract of sale between Valentino US and you will not take place unless and until you have received your order confirmation email. You have the option to cancel your order at any time before we have sent your order confirmation email by contacting our Customer Service Department.

2.    How to Purchase the Products

2.1    The products offered for sale by VALENTINO US are only those displayed on the Website when the Order is placed. 

It is understood that, since the images included on the Website are provided for information purposes only and may not be representative of all of the specifications of the product, colors and sizes may differ because of differences in screens and systems used by Customers when accessing the Website.

2.2     Customer may place an order on the Website in accordance with the instructions provided on the Website, after having carefully reviewed these Terms, the product specifications, the relevant price (inclusive of all applicable taxes and charges), shipping costs (including the additional costs that may be incurred in case a shipping and delivery method that is quicker and/or different from the standard one is chosen). Customer may also opt to receive an invoice for the product. 

2.3     VALENTINO US shall confirm that the Order has been received by sending an email to the address provided by Customer. The email shall contain a short description of the conditions of purchase, as well as the information provided by the Customer on the Website. This will allow Customer to verify that such information is correct and, if necessary, immediately report any incorrect data. 
    

3.     Prices and Payment Terms 

3.1   The prices indicated on the Website are inclusive of taxes. Customer shall be informed in advance of shipping costs or fees, if any, through the Website. 

3.2   The payments can be made only by credit card and the transaction will be processed through a secure server selected by VALENTINO US.

3.3   Under no circumstances and at no stage of the payment process, will the details of the credit card of Customer be disclosed to VALENTINO US. Such details will be directly sent, in a secure manner, to the website of the financial institution in charge of the transaction. Since none of such data will be stored in VALENTINO US’s files, VALENTINO US will not be liable for fraudulent and unlawful uses, if any, made by third parties of the Customer’s credit card during the payment procedure.

4.     Shipping and Delivery of the Products 

4.1   We will arrange for shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process.

4.2   Customer may decide to personally collect the products directly at one of the VALENTINO US retail stores which participate in the “retail store direct delivery” project.  A complete list of such retail stores can be found on the Website. In that case, Customer will receive an e-mail when the product arrives at the store and is ready for collection, which collection by Customer must occur within 20 (twenty) days from the date on which the email was received. Customer will need to show a copy of the email and a valid form of ID. Failure to collect the product within the time limit indicated shall result in the purchase agreement being automatically terminated and Customer being entitled to obtain a full refund of the price. Since no payment can be made at the retail store, cash on delivery is not applicable to products purchased according to such procedure. 

4.3   The delivery times indicated by VALENTINO US are purely indicative. Any delays, or partial deliveries, shall not entitle Customer to reject the product and claim compensations or indemnities.

4.4   To the extent the carrier requires it, Customer shall accept delivery upon signing of the relevant receipt provided by carrier. Customer should ensure that: 

4.4.1  the number of items delivered corresponds to the number indicated in the bill of parcels.  

4.4.2  the packaging is intact, not damaged or wet, and, in any case, unaltered, including the sealing material (cellotape or metal strapping seals). 

4.5   Any damage detected in the packaging and/or the product, and any discrepancy found in the number of items or in the indications contained in the bill of parcels, shall be immediately reported in the bill of parcel to be returned to the courier. 

4.6   Any problem concerning the integrity of the products received, their number and completeness must be reported within 7 days from the relevant delivery, in accordance with the modalities set forth in this document. 

5.      Right of withdrawal

5.1  Except for any products designated on the Site as non-returnable and customized products, we will accept a return of the products for a refund of your purchase price, less the original shipping and handling costs, provided such return is made within twenty (20) days of deliver and provided such products are returned in their original condition. 

5.2   To return products, you must use the form made available in the packaging of the product to be given back (the "Withdrawal Form") or which is available on the Website

5.3 If you send the product/s back of the courier indicated by VALENTINO US in the Withdrawal Form, the redelivery is on the Vendor's exclusive cost and responsibility; 

5.4  If you use a courier chosen by yourself, the costs and responsibility for the redelivery will be on your exclusive account.

The right of withdrawal may be exercised only with respect to the entire purchased product, partial withdrawals (accessories, complements, etc.) are not permitted;

5.5  The product must be given back along with the original packaging (including the packaging materials and the documents, if any, accessories, labels, tags, seals, etc.) and it is to be carefully stored and used only for the time strictly necessary to verify its nature, specifications and size, and must show no signs of wear or dirt, as indicated below:

5.6   Refunds are processed within approximately 14 business days of our receipt of your merchandise. Your refund will be credited back to the same payment method used to make the original purchase on the Site. WE OFFER NO REFUNDS ON ANY PRODUCTS DESIGNATED ON THIS SITE AS NON-RETURNABLE.

5.7   Once the products are received, VALENTINO US will check them in order to verify that they are consistent with the terms and conditions set forth in this clause and, should the results of such verification be negative, it shall inform you by email that the value of the returned products is reduced due to your failure to comply with the conditions mentioned above. By the same mail, VALENTINO US shall also notify the amount that it will deduct from the amount to be refunded, unless Customer elects to have, at its own expense, the products sent back to him/her in the same conditions in which they were returned to VALENTINO US.

5.8   In the event that the right of withdrawal is forfeited, VALENTINO US shall send back to Customer the purchased product, charging the latter with the relevant shipping costs and, if already refunded, the price of the product.  
 

6      Warranty

6.1  All products sold by VALENTINO US are covered by a twenty-four (24) month warranty (the “Warranty Period”). We warrant that the products purchased from the Website will be free from defects in materials and workmanship for the warranty period.  To benefit from the warranty, Customer must keep the relevant invoice, or receipt of payment, together with the bill of parcels.

6.2  The warranty will apply to products used correctly, in accordance with their intended purpose including with respect washing instructions contained in and/or furnished with the product. 

6.3 With respect to any defective products during the Warranty Period, we will, in our sole discretion, either: (i) repair or replace such products (or the defective part) free of charge or (ii) refund the purchase price of such products. 

6.4  If a product is return is envisaged, Customer will return the product in its original packaging, with all its parts (including packaging materials, documents and accessories).  
 

7.   DISCLAIMERS AND LIMITATIONS OF LIABILITY 

EXCEPT AS OTHERWISE EXPRESSLY PROVIDED, THE WEBSITE, AND ALL CONTENT AND ALL PRODUCTS AND SERVICES OFFERED THROUGH THE WEBSITE ARE PROVIDED ON AN 'AS IS' BASIS. VALENTINO S.p.A., and VALENTINO US DISCLAIM ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. VALENTINO S.p.A., AND VALENTINO US DO NOT WARRANT THAT YOUR USE OF THE US WEBSITE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE WEBSITE OR ITS SERVER ARE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS. ALTHOUGH VALENTINO S.p.A., AND VALENTINO US ENDEAVOR TO PROVIDE ACCURATE INFORMATION, THEY DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY OR RELIABILITY OF INFORMATION ON THIS WEBSITE. YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. NEITHER VALENTINO S.p.A. 8.   Claims and Questions

8.1 Any claim or question can be sent to VALENTINO US writing to the Customer Care.

9.   Privacy

9.1 Any personal data collected when an Order is placed, shall be processed by VALENTINO US for the sole purpose of satisfying Customer’s express requests, in compliance with the legislation applicable to privacy and with the Privacy Policy available on the Website. Other processing, if any, of such data shall be carried out only with Customer’s express consent. 

10.  Applicable Law and Choice of Forum

10.1  The laws of the State of New York (without giving effect to its conflicts of law principles) shall govern all matters arising out of or relating to these Terms and Conditions of Sale, including, without limitation, their validity, interpretation, construction, performance, and enforcement. All legal proceedings arising out of or in connection with these Terms and Conditions of Sale shall be brought solely in the City of New York, State of New York.

11.  Force Majeure

11.1   VALENTINO US shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control.
