GENERAL CONDITIONS OF SALE

 

1.     Acceptance of the general conditions of sale and closing

 

1.1     VALENTINO JAPAN offers for sale on the Website the products to end consumers, namely, to persons who buy them for reasons unrelated to the activities, if any, carried by said persons for business, entrepreneurial or professional purposes (“Customer”). VALENTINO JAPAN reserves therefore the right not to process orders placed by persons other than the "consumer" or, in any case, orders that are not consistent with its business policy.

1.2     The agreement executed between VALENTINO JAPAN (hereinafter also the “Seller”) and Customer shall be deemed consummated upon acceptance of the order, including partial acceptance, by VALENTINO JAPAN. If the order is not accepted by VALENTINO JAPAN, VALENTINO JAPAN shall immediately inform Customer thereof.

1.3     By placing an order in accordance with the envisaged modalities, and with the order form made available on the Website (hereinafter, the "Order"), Customer declares that it has read and understood all of the indications given during the purchase procedure, and that it accepts, in full, these general conditions (hereinafter, these "Conditions").

1.4     These Conditions may be printed or stored on permanent storage devices, in accordance with the applicable legislation currently in force.

2.     How to buy the products

 

2.1     The products offered for sale by VALENTINO JAPAN are only and exclusively the ones displayed on the Website when the Order is placed, as described in the relevant product information sheet. It remains in any case understood that, since the images included in the product information sheet are provided for information purposes only and may not be representative of all of the specifications of the product, colours and sizes may differ on account of the differences in screens and systems used by customers for accessing the Website).

2.2     Customer can place an order by duly filling-in the order form made available on the Website and send it in accordance with the indications provided in the Website, after having carefully reviewed these Conditions, the product specifications, the relevant price (inclusive of all applicable taxes and charges), shipping costs (including the ancillary costs that may be incurred in case a shipping and delivery method quicker and/or different from the standard one is chosen). Customer shall also ask VALENTINO JAPAN if it wishes to receive the invoice for the purchased product.

2.3     VALENTINO JAPAN shall confirm that the Order has been properly received by sending an email message to the address notified by Customer. The email shall contain a short description of the conditions of purchase, as provided for by the applicable legislation, as well as the information entered by Customer into the Order form, to enable him/her  double check such information and, if necessary, immediately report incorrect data, if any.

VALENTINO JAPAN reserves the right not to accept an Order for any reason in its discretion, without liability to the Customer. VALENTINO JAPAN may decide not to accept an Order for reasons including, without limitation, the following:

a) there is a dispute between VALENTINO JAPAN and the Customer relating to a previous Order;

b) the Customer has previously breached any agreement between VALENTINO JAPAN and the Customer or has not fulfilled his/her obligations under any agreement between VALENTINO JAPAN and the Customer;

c) VALENTINO JAPAN has grounds to suspect that the Customer is purchasing the products in contravention of these Conditions;

d) the Customer has been involved in, or is suspected of being involved in, illegal or fraudulent activities;

e) VALENTINO JAPAN has grounds to suspect that any data provided by the Customer is or may be inaccurate or untrue;

f) the products which have been ordered by the Customer are incorrectly priced (including if there was an error in the price for a product displayed on the Website) or otherwise incorrectly described;

g) the Customer’s payment method is declined; or

h) the Customer has ordered quantities of an individual product exceeding any quantity limits imposed by VALENTINO JAPAN;

3.     Price and Terms of payment

 

3.1   The prices indicated on the Website are inclusive of taxes and consumption tax. Customer shall be informed in advance of shipping costs or fees, if any, through the Website.

3.2   The payments can be made only through credit card and the transaction will be processed through a secure server selected by VALENTINO JAPAN.

3.3   Under no circumstances and at no stage of the payment process, the details of the credit card of Customer will be disclosed to VALENTINO JAPAN because such details will be directly sent, in a secure manner, to the website of the financial institution in charge of the transaction. Since none of such data will be stored in VALENTINO JAPAN’s files, VALENTINO JAPAN will not be liable for fraudulent and unlawful uses, if any, made by third parties of the Customer’s credit card during the payment procedure.

3.4   The purchase of products on the Website is subject to availability. In the event that VALENTINO JAPAN advises Customer that such products are no longer available, VALENTINO JAPAN will have no obligation to fulfil Customer’s order and Customer will have no obligation to pay VALENTINO JAPAN for the order.

4.     Delivery of the products and relevant expenses

 

4.1   VALENTINO JAPAN, its suppliers and its logistics service providers shall deliver the products purchased by Customer at the address and on the date indicated by the latter in the Order, at the cost specifically indicated in the Website before the Order is dispatched.

4.2   Customer may decide to personally collect the products, rather than having them dispatched to him/her, directly at one of the VALENTINO JAPAN retail stores that have adhered to the “retail store direct delivery” project.  A complete list of such retail stores can be found on the Website. In that case, Customer will receive an e-mail informing him/her that the product has arrived at the retail store and is ready for collection within 20 (twenty) days from the date on which the email was received, upon exhibition of a copy of the aforesaid e-mail together with an identity document. Failure to collect the product within the time limit indicated in the agreement shall result in the purchase agreement be automatically terminated and Customer be entitled to obtain a full refund of the price. Since no payment can be made at the retail store, cash on delivery is not applicable to products purchased according to such procedure.

4.3   The delivery times indicated by VALENTINO JAPAN are purely indicative. Any delay on such times, or partial deliveries of the product, shall not entitle Customer to reject the product and claim compensations or indemnities.

4.4   To receive the delivery of the products, the Customer shall sign the relevant receipt provided to him, having checked that:

4.4.1  the number of items delivered corresponds to the number indicated in the bill of parcels.

4.4.2  the packaging is intact, not damaged or wet, and, in any case, unaltered, including the sealing material (sellotape or metal strapping seals).

4.5   Any damage detected in the packaging and/or the product, and any discrepancy found in the number of items or in the indications contained in the bill of parcels, shall be immediately reported in the bill of parcel to be returned to the courier.

4.6   Any problem concerning the integrity of the products received, their number and completeness must be reported within 7 days from the relevant delivery, in accordance with the modalities set forth in this document.

4.7   Except when indicate by Valentino, Products purchased through the Website can only be sent within Japan.

4.8   For Orders that are delivered to the Customer’s address, the Customer shall bear the risk of loss or damage to the products from the moment that they are delivered in accordance with Clause 4.1. For Orders that are delivered to a store in accordance with Clause 4.2, the risk of loss or damage to the Products will pass to the Customer at the time that the Products are collected by the Customer.

5.     Right of withdrawal/Exchange

 

5.1   Customer is entitled to withdraw from the purchase agreement for any reason, without penalty and without the need to give any explanation, within 14 (fourteen) days from the date of delivery of the products.

5.2   Customer may exercise the right of withdrawal set forth in art. 5.1 above, by filling in the blanks the specific form made available in the packaging of the product to be given back (the "Withdrawal Form").

5.3  In the event of withdrawal, Customer shall dispatch the goods back to VALENTINO JAPAN within 14 (fourteen) days from the date on which the above notice was submitted, following, at his/her discretion, one of the following modalities:

5.3.1 Send the product/s to be given back to the address expressly referred to in the Withdrawal Form by means of the courier indicated by VALENTINO JAPAN in the Withdrawal Form (such means of redelivery is on the Vendor's exclusive cost);

5.3.2 Send of the product/s to be given back to the address expressly referred to in the Withdrawal Form by means of the courier chosen by the Client (in such event, the costs for the redelivery will be on the Client's exclusive account);

5.4  The product must be given back along with the original packaging (including the packaging materials and the documents, if any, accessories, labels, tags, seals, etc.) and it is to be carefully stored and used only for the time strictly necessary to verify its nature, specifications and size, and must show no signs of wear or dirt, as indicated below:

The right of withdrawal may be exercised only with respect to the entire purchased product, partial withdrawals (accessories, complements, etc.) are not permitted;

The transit of the product/s, until the Customer receives confirmation that the product has been properly returned and delivered to the VALENTINO JAPAN retail store, shall be at the Client's exclusive responsibility for the cases indicated under points 5.3.2 and 5.3.3. Therefore, if the product has been damaged during transit, VALENTINO JAPAN shall inform Customer thereof in order to enable the latter to promptly send the relevant complaint to the courier and claim a refund; the product will be made available to Customer and the withdrawal notice will be cancelled;

VALENTINO JAPAN accepts no responsibility for products damaged, stolen or lost while in transit, or, in any case, in relation to their shipping, whenever the shipping back to VALENTINO JAPAN is processed according to one of the modalities indicated under points 5.3.2 and 5.3.3.

5.5   VALENTINO JAPAN shall refund to Customer the whole amount already paid by the latter, including standard shipping costs that the same may have incurred in relation to the returned products (exclusive of any additional cost incurred as a result of a different and/or quicker typology of shipping and delivery) within 14 (fourteen) days from the date of the withdrawal. Unless otherwise agreed by the parties, the amount initially charged to Customer will be written-off using the same means of payment used by Customer in the initial transaction. In any case, no amount shall be charged to Customer in relation to the refund. VALENTINO JAPAN may withhold the refund until the returned product is properly received by VALENTINO JAPAN or until Customer demonstrates that the product has been correctly returned, whichever is earlier.

5.6   Once the products are received, VALENTINO JAPAN will check them in order to verify that they are consistent with the terms and conditions set forth in this clause and, should the results of such verification be negative, it shall inform Customer by email that the value of the returned products is reduced due to Customer’s failure to comply with the conditions mentioned above. By the same mail, VALENTINO JAPAN shall also notify the amount that it will deduct from the amount to be refunded, unless Customer elects to have, at its own expense, the products sent back to him/her in the same conditions in which they were returned to VALENTINO JAPAN.

5.7   In the event that the right of withdrawal is forfeited, VALENTINO JAPAN shall send back to Customer the purchased product, charging the latter with the relevant shipping costs and, if already refunded, the price of the product.

5.8   Please note that the right of withdrawal is expressly excluded for customised items. Once the relative purchase order is sent to and accepted by VALENTINO JAPAN, the customisation may no longer be changed, no returns and/or refunds are possible and the customised items cannot be replaced.

 

6      Products Exchange

 

6.1 In certain circumstances, detailed in the Withdrawal Form, the Customer is entitled to exchange the purchased products with other products, in place of receiving a refund of the relative sum.

6.2  The request for an exchange of the product is subject to the following conditions:

6.2.1 product exchange shall only apply to purchased products for which this possibility is expressly specified on the online Withdrawal Form on our Website by means of the word “EXCHANGE” being available;

6.2.2 Customer may only request the replacement of one or more purchased products with products of the same model, but in a different size and/or colour. The available replacement options will be indicated in the online Withdrawal Form;

6.2.3 Customer may request to exchange one or more purchased products within and not later than 14 (fourteen) days of the day he/she receives the products, by filling in the Withdrawal Form and sending it via electronically to VALENTINO JAPAN within the aforementioned deadline. The products to be replaced should be returned within 14 (fourteen) days of the day of receipt;

6.2.4 Customer may only submit a single replacement request for each product purchased;

6.2.5  the products for which the Customer requests the replacement must be returned to VALENTINO JAPAN in their original packaging, they must not have been used, worn, washed, modified or damaged, and they must still have their identification tag attached with the disposable seal;

6.2.6  the products to be exchanged that are part of a single order must be returned to VALENTINO in a single shipment. VALENTINO JAPAN reserves the right to refuse products of the same order that are shipped for replacement in different stages.

6.3   If all the above conditions are correctly fulfilled, once the Customer have filled in and transmitted the Withdrawal Form containing the request for goods replacement, VALENTINO JAPAN will process said request by sending you a relevant confirmation email. If such conditions are not met, VALENTINO JAPAN will inform the Customer and will deliver back the product to the same at Customer’s expenses.

6.4  After receiving the products to be exchanged, VALENTINO JAPAN will inspect the products to check that all the above requirements have been fulfilled; VALENTINO JAPAN will then verify the actual availability of the replacement products in its warehouses of the products to ensure that the size and/or colour you have selected are available.

6.5   If the selected replacement products are not available in the warehouse, VALENTINO JAPAN will not be able to accept the request for an exchange and will refund the Customer the original price of the products originally purchased in accordance with the procedures specified in this Contract. Customer will be contacted by VALENTINO JAPAN if his/her request for an exchange cannot be accepted.

6.6   If the selected products are available in the warehouse, VALENTINO JAPAN will accept the request for an exchange and will send to the Customer an email confirming the shipment of the replacement products. Shipment will occur within thirty (30) working days of the date from which VALENTINO JAPAN was made aware of the request for exchange, once the condition of the products for exchange as detailed above has been verified. The costs for shipping the replacement products shall be borne by VALENTINO JAPAN who will choose the carrier.[VF1]

 

7.      Claims and queries

 

7.1   Any claim or query can be sent to VALENTINO JAPAN writing to the Customer Care.

 

8.      Privacy

 

Any personal data collected when an Order is placed, shall be processed by VALENTINO JAPAN for the sole purpose of satisfying Customer’s express requests, in compliance with the legislation applicable to privacy and with the Privacy Policy available on the Website. Other processing, if any, of such data shall be carried out only with Customer’s express consent.

9.     Applicable Law

 

The sale agreement under these Conditions and its performance are governed by Japanese Law, without giving effect to the conflicts of law provisions thereof or the United Nations Convention on Contracts for the International Sale of Goods. Any dispute that may arise out of or in relation to the agreement shall be submitted to the Tokyo District Court of Japan.

 

10.   Language

 

The languages used to execute the sale agreement through the Website are English and/or Japanese. The English and Japanese versions of such sale agreement shall be equally valid; however, in the event of any discrepancy, the Japanese version shall prevail.

 

11.   Modification

 

VALENTINO JAPAN reserves the right to amend and/or replace these Conditions at any time. Any amendments to and/or replacements of these Conditions shall only be effective in respect of purchases of products made after the date that the amended or new version of these Conditions is published and stated to take effect. If VALENTINO JAPAN amends or replaces these Conditions, any previous version of these Conditions will not apply to any purchases made after the amended or replaced Conditions come into effect.
